Anthropic files S-1 to list on Nasdaq as ANT, a public benefit corporation, with Q3 revenue at $16.8B
- Anthropic filed its S-1 with the SEC on October 26, 2026, for a listing on the Nasdaq Global Select Market under the ticker ANT, with the offering price range still left blank.
- The registrant is a Delaware public benefit corporation, a structure the filing ties to its AI safety commitment and that requires balancing stockholder interests against its chartered public benefit purpose.
- Revenue rose from $11.6B in Q2 to $16.8B in Q3 2026, about 45% quarter over quarter, which commenters say already makes the filed figures out of date.
- The filing shows an $81B net loss for the first six months of 2026, and roughly $72B of it is non-cash charges on convertible notes, derivative liabilities and SAFEs driven by the company's rising valuation.
- Compute economics reached $2.08 of revenue per $1 of compute, up from $0.40 in Q1 2025, which commenters read as a payback period under a year.

I downloaded the htm and the pdf render into a local repo and ran Opus 5.5 at max effort on it: read the S-1, replicate their corporate strategy, validate it with an adversarial subagent swarm, write me the plan. I got safeguard flagged for cyber.
Capital, GPUs, timing, talent. Even if the plan it gives you is good, you're years behind with no money.
If you happen to have a few billion dollars sitting around, sure, give it a shot.
Something feels off about this one. It might be the most consequential S-1 of the decade and I'm honestly a little terrified.
Why? SpaceX already had the most consequential IPO.
I was too young to appreciate the dotcom crash. Popcorn is ready this time, whichever direction it goes.
Adding a zero to revenue every year is wild, whether or not you like Anthropic.
That's not so hard when you're also adding zeros to the funding.
Isn't the growth already flattening? Everyone I know is capping token spend, and the big spenders have their own models now.
Q3 came in at $16.8B against $11.6B in Q2, so the S-1 numbers are already stale. 45% QoQ, when does it stop?
$81B net loss in the first six months of 2026 alone. That number should be the headline.
Read the note before throwing the number around. Most of it is change in fair value of convertible notes, derivatives and SAFEs.
It isn't even a real loss. Those are promises of shares, so a rising valuation inflates the charge. If their valuation dropped 10x tomorrow the loss magically becomes $7B.
We're at the end of the AI hype cycle and this IPO is exit liquidity for insiders. AGI isn't mentioned once in the filing.
Anthropic's valuation has nothing to do with AGI, it's Claude Code.
Google, Amazon and Microsoft can fund this indefinitely, and Nvidia is backordered through 2027. What exactly is going to crash?
They pull $2.08 of revenue for every $1 of compute, up from $0.40 in Q1 2025. I want to see how the heavily-subsidized crowd spins that.
The PBC mission is what I want to believe in, but I can't see it winning out against shareholder returns.
Coursera, Warby Parker and United Therapeutics are already public as PBCs, so there's some evidence either way.
There's no legal requirement to maximize shareholder returns anyway. They can just set the expectation upfront that they won't.
